Compensation Agreement

THIS SALES REPRESENTATIVE AGREEMENT (“Agreement”) is made and entered into between Dannie Garrett of Silky Smooth Sugaring and Myra Aviles, an individual (“Representative”).

WHEREAS, the Company desires to engage the Representative to promote and sell its products and services under the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual promises contained in this Agreement, the parties agree as follows:


Sugaring Certification Courses and Training for exclusive educators and Sales representatives.

- The Representative will follow and receive 100% of the registration fees from each sugaring certification course or training class they conduct. 

Team Structure Commission

- The Representative will receive a 5% commission on all orders made by sales representatives they supervise or have recruited.

Training and Development Minimum expectation of 2 classes per year to maintain educator perks.

Travel expenses

Representatives will be responsible for their travel expenses, such as:

  Transportation Costs:

     - Airfare or train tickets

     - Car rental fees

     - Mileage reimbursement

     - Taxi or ride-share fares

  Accommodation:

     - Hotel expenses

     - Airbnb or vacation rentals

  Meals:

     - Meals during travel

     - Snacks on the road

  Incidentals:

     - Parking fees

     - Tolls

  Personal baggage Fees:

     - Charges for checked baggage

  Travel Insurance:

     - Insurance costs for business trips

   Personal Supplies:

     - Business-related supplies purchased during travel

Unless otherwise agreed upon in writing at least 30 days in advance. 

Discounts and Kits

- Educators will receive 20% off of house products.

Educators can buy an instructor kit at a 40% discount. After their initial purchase, educators are eligible for one complimentary instructor kit per year, but they will need to cover the shipping costs. Please note that kits cannot be purchased consecutively, and a class must be scheduled in advance.

- The shipping policy for kits is the same as for all other products. If the order total is $250 or more, shipping will be free; this is subject to change at any time as shipping prices fluctuate. 


Performance Incentives for sales representatives 

Sales Goals Breakdown

  • Sales Commission: Reps will earn a 15% commission on all sales, excluding shipping fees.

Quarter 1:

  • Month 1: Achieve $500 in sales revenue.

  • Month 2: Achieve $600 in sales revenue.

  • Month 3: Achieve $700 in sales revenue.

Quarter 2:

  • Total Sales Goal: $2,000

  • Month 1: $600

  • Month 2: $700

  • Month 3: $700

  • Evaluation: Review sales achievement and customer feedback at the end of Month 6.

  • Assignment for Next Quarter: Set individual goals for Q3 based on evaluations.

Quarter 3:

  • Total Sales Goal: $2,200

  • Month 1: $700

  • Month 2: $750

  • Month 3: $750

  • Evaluation: At the end of Month 9, assess overall progress and areas for improvement.

  • Assignment for Next Quarter: Adjust Q4 goals and strategies based on Q3 evaluation.

Quarter 4:

  • Total Sales Goal: $2,500

  • Month 1: $800

  • Month 2: $850

  • Month 3: $850

  • Evaluation: Conduct a comprehensive annual performance review at the end of Month 12.

  • Assignment for Next Year: Set initial sales goals for the following year based on cumulative data.

Summary of Annual Sales Goals:

  • Q1 Total: $1,800

  • Q2 Total: $2,000

  • Q3 Total: $2,200

  • Q4 Total: $2,500

  • Overall Annual Sales Goal: $8,500

Incentive for Exceeding Monthly Goals: If a representative exceeds their monthly sales goal (i.e., goes beyond the target for that month), their monthly commission rate will increase to 20% on sales.

Consequence for Not Meeting Monthly Goals:

  • If a representative fails to meet their sales goal for 3 months in a row:

  • Their monthly commission rate will be reduced to 10% of sales.

Additionally, they may be required to participate in a sales training session, receive one-on-one coaching to help improve their performance, or be terminated from the sales representative position. 

Engagement Goals: Conduct 2-4 follow-up calls or emails to potential each quarter.

Social Media/Marketing Engagement Post 2-4 times a month on Facebook, Facebook groups, Instagram, and TikTok promoting products and services. Invite Silky Smooth to collaborate. Engage with 5-10 potential customers through comments or direct messages weekly.

Commitment to Regular Check-Ins   

Sales representatives agree to conduct regular check-ins with their assigned clients at least once every quarter.

Training Sessions

Management commits to providing quarterly training sessions on effective engagement techniques and best practices.

Monthly Review Meetings

 Sales teams will hold monthly meetings to review engagement metrics and share success stories.

Personalization Approach  

Each representative will develop a personalized engagement plan for their clients.

Use of Automation Tools 

Representatives are encouraged to use the tools available through the GoAffPro app to streamline their processes and enhance their efficiency in managing client accounts. Proper use of these tools is essential for maintaining active engagement and ensuring commission eligibility. 

Company Responsibilities:

The Company will provide necessary marketing materials and training resources and ensure access to up-to-date client information. 

Commission Structure and Compensation Evaluation

The Representative will receive a 5% commission on all orders made by sales representatives they supervise or have recruited. Commissions will be calculated based on monthly performance and paid out on the 15th. To ensure commissions are due, the Representative must submit documentation verifying their contact with accounts related to the sales transactions. A spreadsheet will be provided to assist in tracking these interactions, which should include dates, methods of communication, and key outcomes from each interaction. Additionally, the Representative is required to remain active in nurturing these accounts by following up regularly and engaging with clients to foster strong relationships. Failure to provide adequate documentation through the provided spreadsheet or to maintain active engagement with accounts may result in the forfeiture of commissions.

Commissions will cease immediately upon the expiration or termination of this Agreement or if the Disclosing Party, at its discretion, determines that the Receiving Party has violated any terms of this Agreement.

Open Communication  

Sales representatives must discuss any discrepancies or concerns with management within 30 days.

Legal Rights and Responsibilities

The Representative acknowledges that any violation of this Agreement will constitute a breach of contract. In the event of a breach of this Agreement, the Representative agrees to be legally responsible for all court costs, attorney fees, and any other expenses incurred by the Company in connection with enforcing this Agreement.

Do Not Disparage Clause

The parties agree that during the term of this Agreement and thereafter, neither party shall make, publish, or cause to be published any statements, whether oral or written, that are disparaging or detrimental to the other party, its products, services, owners, employees, or affiliates. This includes, but is not limited to, comments made in public forums, social media, or communications with third parties. In the event that either party violates this clause, the offending party shall be liable for any damages incurred by the non-offending party as a result of such violation, including but not limited to any loss of reputation, revenue, or business opportunities. Furthermore, the non-offending party may pursue all legal remedies available, including seeking injunctive relief and damages. If the matter ends up in court, the offending party shall also indemnify the non-offending party for any legal fees and costs associated with enforcing this provision.

Non-Disclosure Agreement (NDA)

The Disclosing Party intends to disclose certain confidential and proprietary information (the "Confidential Information") to the Receiving Party to discuss and evaluate potential business collaboration related to Silky Smooth Sugaring.

Definition of Confidential Information  

For this Agreement, "Confidential Information" includes, but is not limited to, all information related to the Disclosing Party's business operations, marketing strategies, customer lists, financial information, product formulations, technologies, and any other proprietary information shared verbally or in writing that is designated as confidential.

Obligations of Receiving Party  

The Receiving Party agrees:

• (a) Not to disclose any Confidential Information to any third parties without the prior written consent of the Disclosing Party.

• (b) To take all reasonable measures to protect the confidentiality of the Confidential Information, using at least the same degree of care that it uses to protect its confidential information.

• (c) To use the Confidential Information solely for the Purpose stated above and not for any other purpose without the express written consent of the Disclosing Party.

Term  

This Agreement shall commence on the effective date and shall continue until the Confidential Information no longer qualifies as confidential or until terminated by either party with thirty (30) days' written notice.

Consequences of Breach  

In the event of a breach of this Agreement by the Receiving Party, the Disclosing Party may pursue all remedies available at law or in equity, including but not limited to injunctive relief and damages. Breach of this NDA may also result in the termination of any agreements between the parties.

Non-exclusive Option 

Affiliates will earn a 10% commission on first-time orders from referrals who use their unique code. I can easily create my affiliate link directly on the website. Additionally, I acknowledge that I can provide new wholesale customers with a one-time 10% discount code. There will be no residual commissions or educator perks associated with this option. This allows me to promote the brand while maintaining the flexibility to explore other opportunities!

I choose to be exclusive to Silky Smooth Sugaring! I understand that this commitment means I will not promote or represent any other companies within the industry. In return, I will receive a comprehensive commission structure, including residual commissions, and access to educator perks and product discounts as outlined above. By being exclusive to Silky Smooth, I can fully align with the brand and maximize my potential for success!
